Outsourced Corporate Development
We provide corporate development services to larger middle
market companies that have a reoccurring need for merger,
acquisition and divestiture research, financial analysis,
modeling, execution and post-transaction integration services,
but cannot afford to divert key employees from their normal
responsibilities or cost-justify employing staff to provide
these key services.
In this role, we assist management by
providing industry landscape assessments and strategic alternative
studies in order to thoroughly evaluate merger, acquisition,
divestiture and other growth opportunities from a strategic,
economic, tax, financial accounting, rating agency, regulatory
and governance perspective. We also assist management in
successfully executing these opportunities while reducing
the risks and uncertainties that usually accompany transactions.
More
specifically, we:
- Assist management in identifying key value drivers and
challenging assumptions about future performance of target
acquisition candidates
- Assist management in identifying business units which
should be divested, as well as the best process to use
in executing the divestiture
- Suggest processes which improve our clients' negotiating
positions, minimize disruptions to ongoing operations and
improve the likelihood of closing
- Work with management to minimize value leakage and accelerate
transaction value during the post-transaction integration
period
