Selling a Business
We manage the process of selling a business, analyze the company
and the industry in which it competes, and work closely with
our sell-side clients to assist them in:
- Determining whether a sale is the appropriate strategic
alternative, and if so, whether now or later is the time
to sell
- Identifying goals and objectives and planning an optimal
sales strategy
- Identifying, through research and relationships, the strategic
and financial buyers that best meet our clients' objectives
- Designing, then implementing and managing the optimal
process for creating competition among potential buyers
- Developing and assisting in the preparation of management
presentations
- Preparing a confidential, descriptive selling memorandum
that highlights the unique aspects of the business customized
for different potential buyers
- Evaluating offers
- Assisting the client in negotiating with prospective buyers
to realize our client's financial and other objectives
- Managing the closing process
Acquiring a Business
We manage the acquisition from search through closing, including:
- Identifying, evaluating and prioritizing potential acquisition
candidates
- Analyzing business and operations of candidates through
extensive research and financial analyses
- Employing financial modeling techniques and sensitivity
analyses to determine how the acquisition will impact the
buyer
- Developing the best strategies to approach candidates
- Contacting targets, if appropriate
- Identifying and assisting in obtaining senior, mezzanine
and private equity funding, as appropriate
- Managing the closing process
